Terms of Service

1. Introduction

1.1 Agreement. By clicking “Sign Up,” installing, or using any part of the Legal Ace website or mobile applications (collectively, the “Service”), you enter a binding contract with Superstar Detective LLC (“Legal Ace,” “we,” “us,” or “our”). If you do not agree, do not use the Service.
1.2 Scope. These Terms apply to individual users (“Personal Users”) and, where an organization purchases access, to that entity (“Entity User”) and each authorized end user.
1.3 Separate Privacy Policy. Our Privacy Policy explains how we collect and use data and is incorporated by reference.

2. Eligibility & Accounts

You must be (a) at least 18 or the age of majority in your locale, (b) able to form a contract, and (c) not barred from the Service under applicable law. Each user may register one account and must provide accurate information and keep credentials secure. Device- and login-sharing limits, as well as multi-factor prompts, may apply.

3. Service Overview & No Legal Advice

The Service provides summarized case briefs, study tools, and an AI-powered text/voice tutor that uses large-language-model technology. All content is for informational and educational purposes only, does not constitute legal advice, and does not create an attorney-client relationship with Legal Ace or its personnel. AI output is probabilistic and may be inaccurate, incomplete, or outdated; reliance is at your own risk.

4. License

Subject to these Terms, Legal Ace grants you a personal, non-transferable, revocable license to access the Service for your own study needs. All other rights are reserved.

5. Fees, Billing & Cancellation

5.1 Subscriptions. Certain features require a paid subscription with recurring charges until canceled.
5.2 Automatic Billing & Renewal. You authorize our payment processor to charge your chosen method at the stated interval unless you cancel before the next renewal.
5.3 Cancellation. Cancel anytime in-app or via support; access continues until the current term ends and fees already paid are non-refundable, except where required by law.

6. User Content & Feedback

You may upload notes, comments, or voice inputs (“User Content”). You retain ownership but grant Legal Ace a worldwide, royalty-free license to host, display, and improve the Service, including for AI-training purposes. Suggestions you submit may be used without compensation.

7. Acceptable Use

You agree not to (i) share subscriptions, (ii) scrape or train competing AI models on our content, (iii) post unlawful or defamatory material, or (iv) reverse-engineer the Service. These examples mirror Legal Ace’s prohibited-use list.

8. Intellectual-Property & DMCA

All Service materials are owned by Legal Ace or its licensors. If you believe your copyright is infringed, send a DMCA notice to [customer@legalace.app] with the elements listed in 17.5 of the Legal Ace Terms.

9. Disclaimers

THE SERVICE AND ALL CONTENT ARE PROVIDED “AS IS” WITHOUT WARRANTIES OF ANY KIND. LEGAL ACE DISCLAIMS ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT AI OUTPUT WILL BE ACCURATE OR ERROR-FREE.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, LEGAL ACE WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES; OUR AGGREGATE LIABILITY WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US $100).

11. Indemnification

You will defend and indemnify Legal Ace and its affiliates against claims arising out of (i) your misuse of the Service, (ii) your User Content, or (iii) your breach of these Terms.

12. Dispute Resolution & Arbitration

12.1 Mutual Arbitration. Except for the specific exceptions in §17.2 of the Portola Terms, any dispute related to these Terms or the Service will be resolved by binding arbitration under the AAA Consumer Rules. YOU AND LEGAL ACE WAIVE THE RIGHT TO JURY TRIAL.
12.2 Class-Action Waiver. Claims must be brought individually; class or representative actions are not permitted.
12.3 Opt-Out. You may opt out of arbitration within 30 days of accepting these Terms by mailing a signed notice to Superstar Detective LLC, Attn: Legal, [mailing address], stating your full name, account email, and a clear statement of your intent to opt out.
12.4 If the arbitration clause is found unenforceable, the courts of [State of formation] will have exclusive jurisdiction.

13. Termination

We may suspend or terminate access for any reason, including violation of these Terms; upon termination, licenses end and you must cease use. Certain sections (e.g., Disclaimers, Limitation of Liability) survive termination.

14. Changes to These Terms

We may modify these Terms by posting an updated version; material changes become effective 30 days after posting for existing users. Continued use constitutes acceptance.

15. General

These Terms constitute the entire agreement between you and Legal Ace, are governed by [State] law without regard to conflicts principles, and may not be assigned by you without consent. Section headers are for convenience only.
